Services Overview
Bolify AI provides software, workflow tools, analytics, and related services
designed to support business operations. Service details, feature limits,
support levels, and usage rights may vary by plan, proposal, order form,
or separately negotiated agreement.
We may update, improve, or reconfigure services over time, provided changes
do not materially remove core purchased functionality during an active paid term,
except for legal, security, or critical reliability reasons.
-
Trial environments may be limited in duration, features, integrations, and storage.
-
Beta or early-access features are optional, may change rapidly, and may have additional restrictions.
-
Service availability targets are goals and not absolute guarantees unless explicitly agreed in writing.
-
We may implement technical safeguards, quotas, and fair-use controls to protect platform reliability.
-
Documentation and public guidance are informational and do not replace contract terms.

Confidentiality
Each party may receive non-public information from the other party that is designated as confidential
or that reasonably should be understood as confidential based on context, nature, or disclosure method.
The receiving party will protect confidential information using reasonable care, at least equivalent
to the care used for its own confidential information of similar sensitivity.
-
Confidential information may be used only for permitted business purposes under these Terms.
-
Disclosure is limited to personnel and advisors with a legitimate need to know and binding confidentiality obligations.
-
Obligations do not apply to information already public, independently developed, rightfully received, or lawfully compelled.
-
Required legal disclosures should include prompt notice where legally permitted so protective measures can be sought.
-
Upon request or termination, each party should return or securely delete confidential information as reasonably required.

Limitation of Liability
To the maximum extent permitted by law, Bolify AI and its affiliates, officers, directors,
employees, and licensors will not be liable for indirect, incidental, special, consequential,
exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business interruption.
Where liability cannot be excluded, Bolify AI aggregate liability under these Terms will be limited
to the amounts paid by Customer to Bolify AI for the affected services during the twelve (12) months
preceding the event giving rise to the claim, unless a different cap is required by applicable law.
-
Liability limitations apply regardless of legal theory, whether contract, tort, strict liability, or otherwise.
-
Limitations apply even if a remedy fails of its essential purpose.
-
Nothing in these Terms limits liability that cannot be limited under applicable law.
-
Multiple claims do not expand the aggregate liability cap.

Indemnification
You agree to defend, indemnify, and hold harmless Bolify AI and its affiliates from and against
third-party claims, losses, damages, liabilities, and expenses (including reasonable legal fees)
arising from your use of the services in violation of these Terms, your submitted content, or your breach of law.
Bolify AI reserves the right to assume exclusive defense and control of matters otherwise subject to indemnification,
and you agree to cooperate in reasonable defense efforts.
-
Indemnification includes claims related to misuse of outputs, data rights violations, or prohibited conduct.
-
You will not settle claims imposing non-monetary obligations on Bolify AI without prior written consent.
-
Bolify AI will provide prompt notice of indemnifiable claims where practicable.
-
This section survives termination of service use to the extent claims arise from prior conduct.

13.
Suspension and Termination
Bolify AI may suspend or terminate access, in whole or in part, if we reasonably determine that:
(i) your use poses a security or legal risk; (ii) there is material breach of these Terms;
(iii) payment obligations are materially overdue; or (iv) suspension is necessary to protect
platform integrity, customers, or third parties.
Where reasonably possible, we provide notice and an opportunity to cure.
Termination does not relieve outstanding payment obligations or obligations intended to survive.
-
You may stop using the service at any time, subject to active commercial commitments.
-
Upon termination, access credentials may be disabled and service features withdrawn.
-
Data export and retention options may be time-limited according to policy or contract.
-
Rights and obligations by nature intended to survive will remain effective.
-
Reinstatement following suspension may require remediation actions and verification.

Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction specified in your signed commercial agreement,
or, if none exists, the jurisdiction where the relevant Bolify AI contracting entity is established,
excluding conflict-of-law principles to the extent permitted.
Before initiating formal proceedings, each party agrees to attempt good-faith resolution through
designated business and legal contacts. If unresolved, disputes will be handled in the courts or
forum identified by applicable contract terms.
-
Informal escalation should include a clear statement of claim and requested remedy.
-
Venue and jurisdiction are those stated in applicable order forms, master agreements, or local fallback law.
-
Either party may seek urgent injunctive relief for misuse of confidential information or IP rights.
-
To the extent permitted, parties waive jury trial rights where such waiver is enforceable.
